ROXBOROUGH PARK FOUNDATION
CHARTER FOR ELECTION COMMITTEE

This charter will serve as an operational guideline for committees appointed by the Board of Directors for Roxborough Park Foundation.

COMMITTEE:    Election Committee--2010

TYPE: Designated Committee

PURPOSE:  To make recommendations to the Board of Directors for the conduct of elections in Roxborough Park and to supervise the conduct of such elections.
 
BUDGETED AMOUNT FOR COMMITTEE USE, IF ANY:  None

COMPOSITION:
  The Committee will have a Chairperson and up to four additional volunteer members as needed.  The names and phone numbers of all committee members must be provided to the office by the Chairperson upon appointment to the committee. The Chairperson will be appointed by the Board of Directors no later than December 16, 2009.

SCOPE OF DUTIES:  The Committee will:

  • Develop and recommend guidelines and procedures for the conduct of the elections to the Board of Directors.
  • Guidelines and procedures, to be developed in conjunction with the General Manager, will include, but not be limited to, the following:
    • Draft of “Notice of Vacancy” that will describe the vacancy, specify the date and time required for submission of the Notice of Intent to Run, submission of personal biographical sketches and resumes to include specifics on Notice preparation, details concerning mailing list availability, and announcement of Meet the Candidates Night.
    • Draft of “Official Ballot.”
    • Draft of “Official Proxy Form.”
    • The Committee Chairperson and at least one Committee member shall be present at the expiration of the filing period and will certify the candidates eligible for election, according to Section 5.2 of the Bylaws.
    • The Committee will review the submitted Biographical Sketches according to Section 5.3 of the Bylaws.
    • The Committee will develop, promote, and implement, in conjunction with the General Manager, a “Meet The Candidates Night.”
    • The Committee will assist the General Manager to insure that all voting is conducted by secret written ballot or proxy.    The Committee will be available to the “accountant, auditor, or other neutral person,” as specified in the proposed Rules and Regulations, to assist in whatever way directed.
    • The Committee will be available to the General Manager for assignments at the Annual Meeting.
    • Following the announcement of the outcome of the election, the Committee will place all ballots and proxies in a sealed envelope for presentation to the General Manager for retention according to the Foundation’s record retention policy.

FUNDING:  Funds are to be expended only through the General Manager with the prior budget approval of the Board of Directors.

FOUNDATION STAFF SUPPORT:  Foundation staff support may only be utilized with prior approval of the General Manager.

COMPLETION DATE OF DUTIES:
  This group is functional for all elections that may be required in 2010 and will develop guidelines and procedures for all elections as required.

REPORTS TO THE BOARD:  The Committee will report to the Board of Directors and will coordinate all activities with the General Manager.

AUTHORITY:  Committee will interface with the General Manager on all issues.  Committees offer recommendations to the Board through the General Manager.  Final decisions for the committee recommendations are made by the Board of Directors as the elected representatives of the community.
